1. Acceptance of terms

By creating an account, accessing, or using Withers (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using Withers on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, do not create an account or use the Service.

These Terms should be read together with our Privacy Policy, which is incorporated by reference.

2. Description of service

Withers is a web-based software platform that provides pet grooming businesses with tools including:

Withers is provided as a software-as-a-service (SaaS) platform. We reserve the right to modify, add, or remove features at any time. We will notify you of material changes that affect your use of the Service.

3. Eligibility and accounts

3.1 Eligibility

You must be at least 18 years old and legally able to enter into contracts to use Withers. The Service is intended for pet grooming professionals and businesses operating lawfully in their jurisdiction.

3.2 Account registration

You must provide accurate, complete, and current information when creating your account. You are responsible for keeping your account information up to date, including your business name, email address, and billing details.

3.3 Account security

You are responsible for all activity that occurs under your account. You must:

Withers is not liable for any loss or damage resulting from unauthorized access to your account that occurs due to your failure to secure your credentials.

3.4 One account per business

Each Withers account represents one grooming business. You may add staff members to your account under your subscription. Creating duplicate accounts to circumvent billing limits is a violation of these Terms.

4. Subscription plans and billing

4.1 Plans and pricing

Withers offers subscription plans that may vary by features and usage limits. Current pricing is displayed in the app and on our website. During any active beta or trial period, features may be available at no charge as described in your enrollment communication.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. By providing payment information, you authorize Withers to charge your payment method on a recurring basis until you cancel.

4.3 Free trial and beta access

If you are accessing Withers through a free trial or beta program, your access is governed by the specific terms communicated at enrollment. We reserve the right to end the trial or beta period, introduce pricing, or modify access at any time with reasonable notice.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by emailing hello@withers.app. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial periods unless required by applicable law.

4.5 Price changes

We may change subscription pricing with at least 30 days' advance notice by email. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

4.6 Taxes

You are responsible for all taxes, duties, and other governmental charges applicable to your use of the Service. Withers will charge sales tax where required by law.

โš  Failed payments

If a payment fails, we will attempt to retry the charge and notify you by email. If payment is not received within 7 days of the failed charge, access to the Service may be suspended until payment is resolved. Your data will be retained for 30 days after suspension to allow you to resolve billing before permanent deletion.

5. Acceptable use

You agree to use Withers only for lawful purposes in connection with operating a pet grooming business. You must not:

You may not use Withers' messaging features to send content that is threatening, harassing, defamatory, obscene, or otherwise inappropriate. All messages sent through Withers must relate to legitimate appointment communications for your grooming business.

Violation of acceptable use

Violations of this section may result in immediate suspension or termination of your account without refund. We reserve the right to investigate suspected violations and cooperate with law enforcement where appropriate.

6. SMS and email messaging

6.1 Your responsibility for consent

When you use Withers to send SMS messages or emails to your clients, you represent and warrant that:

You may not use Withers' messaging features to send promotional campaigns, marketing blasts, or any content unrelated to appointment scheduling and management for your grooming business.

6.3 Opt-out handling

Clients who reply STOP to any SMS message sent via Withers will be automatically removed from future automated text messages. You must not manually re-add clients who have opted out to circumvent this process.

Message frequency varies based on your appointment schedule and the reminder settings you configure in Withers. Clients typically receive 1โ€“2 messages per appointment. Message and data rates may apply depending on the client's mobile carrier and plan.

To opt out of SMS messages, reply STOP to any message. You will receive one final confirmation and no further messages will be sent. To request help, reply HELP or contact your groomer directly.

6.4 Message costs

SMS messaging is included within your Withers subscription subject to fair use limits. We reserve the right to apply per-message charges or usage caps if your SMS volume significantly exceeds normal business use. You will be notified before any additional charges apply.

The TCPA imposes significant penalties for sending unsolicited text messages. It is your responsibility as the business owner to ensure you have proper consent from each client before enabling SMS reminders. Withers provides the delivery mechanism โ€” compliance is your obligation.

7. Your data and content

7.1 Ownership

You own all business data, client records, pet profiles, and content you enter into Withers. We do not claim ownership of your data. By using the Service, you grant Withers a limited, non-exclusive license to store, process, and transmit your data solely for the purpose of providing the Service to you.

7.2 Data export

You may request an export of your business data at any time by contacting hello@withers.app. We will provide your data in a common machine-readable format (such as CSV or JSON) within 10 business days.

7.3 Accuracy of data

You are responsible for the accuracy of data you enter into Withers, including client contact information, appointment records, and payment amounts. Withers is not liable for errors in your records or consequences arising from incorrect data.

7.4 Uploaded content

You may upload pet photos and documents to Withers. You represent that you have the right to upload such content and that it does not infringe any third-party rights. Do not upload content that is illegal, defamatory, or violates another person's privacy.

8. Your clients' data โ€” your obligations

When you enter personal information about your clients and their pets into Withers, you become a data controller with respect to that information under applicable privacy law. You agree to:

Withers acts as a data processor on your behalf. Our obligations with respect to client data are described in our Privacy Policy and apply in addition to your own obligations as data controller.

9. Intellectual property

9.1 Withers' IP

The Withers platform, including its code, design, user interface, branding, logo, and documentation, is owned by Withers and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

9.2 License to use

Subject to these Terms and your active subscription, Withers grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your grooming business during the subscription term.

9.3 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Withers a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback without compensation or attribution to you. We won't use your specific business data in any way that identifies you without your consent.

10. Third-party services

Withers integrates with third-party services including Google Firebase, Twilio, Resend, and Vercel to deliver its features. Your use of the Service is also subject to the relevant terms of those providers where applicable. Withers is not responsible for the acts, omissions, or availability of any third-party service.

If a third-party service we rely on changes its terms, pricing, or availability in a way that materially affects Withers, we will make reasonable efforts to find an alternative or notify you promptly.

11. Availability and downtime

We aim to keep Withers available and operational at all times, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

During any free beta or trial period, Withers is provided "as-is" without any uptime guarantee or service level agreement. We encourage beta users to maintain backup scheduling methods for critical business operations.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

You use the Service at your own risk. Withers is a scheduling and management tool โ€” it does not provide legal, financial, employment, or veterinary advice. Any business decisions you make based on data in Withers are your own responsibility.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WITHERS, ITS OWNERS, OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY:

ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WITHERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT LIABILITY CANNOT BE FULLY EXCLUDED BY LAW, WITHERS' TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

You agree to defend, indemnify, and hold harmless Withers and its owners, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

15.1 Termination by you

You may cancel your account at any time through your account settings or by contacting hello@withers.app. Upon cancellation, your access to the Service ends at the close of your current billing period.

15.2 Termination by Withers

We may suspend or terminate your account at any time, with or without notice, if:

Upon termination for any reason, your right to access and use the Service ends immediately. Provisions of these Terms that by their nature should survive termination โ€” including ownership rights, disclaimers, limitations of liability, and indemnification โ€” shall survive.

Following termination, your data will be retained for 30 days in case you wish to reactivate your account or request an export. After 30 days, all data is permanently deleted.

16. Dispute resolution

16.1 Informal resolution first

Before filing any formal legal claim, you agree to contact us at hello@withers.app and give us 30 days to try to resolve the dispute informally. Most issues can be resolved quickly with a conversation.

16.2 Binding arbitration

If we cannot resolve the dispute informally, any claim arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English. The arbitrator's decision shall be final and binding.

16.3 Class action waiver

YOU AND WITHERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of class proceeding.

16.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims of intellectual property infringement may be brought in court.

17. Governing law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. To the extent any dispute is heard in court (see exceptions in Section 16.4), you consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

We may update these Terms from time to time. When we make material changes, we will:

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree with the updated Terms, you may cancel your account before the effective date and receive a prorated refund for any unused prepaid period.

For beta users

During the beta period, Terms may change more frequently as the product evolves. We will always give you reasonable notice and never change terms in a way that retroactively harms you.
